Independent Advice Before You Sign

Lenders may require a borrower, guarantor or director to obtain independent legal advice before signing loan, mortgage or guarantee documents. Our role is to explain the nature and effect of the documents, your obligations and the key risks, so you can make an informed decision before signing.

Bradley + Bray can review the relevant finance documents, meet with you privately, answer your questions and, where appropriate, complete the lender’s required Independent Legal Advice Certificate. Online appointments can also be arranged for convenience and faster turnaround where timing is important.

Guarantors

If you are being asked to guarantee another person’s or company’s obligations, it is important that you understand the extent of the liability you are assuming.

A guarantee may expose your personal assets to risk if the borrower fails to meet its obligations. We will explain the guarantee, any associated mortgage or security documents, the circumstances in which the lender may enforce them, and the potential financial consequences for you.

Our lawyer will meet with you independently of the borrower and answer any questions you have before you sign.

Where appropriate, we can then complete the lender’s required Independent Legal Advice Certificate.

Borrowers

When entering into a loan or finance arrangement, your lender may require you to obtain independent legal advice before you sign the documents.

We can review the relevant loan and mortgage documents with you and explain the key terms, your repayment and security obligations, events of default and the potential consequences if those obligations are not met.

Our advice is provided independently and in a private appointment so you have the opportunity to ask questions and understand the documents before deciding whether to proceed.

Where the lender requires confirmation that independent legal advice has been provided, we can complete the appropriate certificate after the advice has been given.

How the Independent Legal Advice Process Works

1. Send Us Your Details
Tell us whether you are a borrower, guarantor or director, who the lender is, what documents are involved and when the advice is required.

2. We Review the Documents
Once you are onboarded, our lawyer reviews the relevant loan, mortgage, guarantee and security documents before your appointment.

3. Meet With Your Lawyer
We meet with you privately, either in person or online, explain your obligations and risks, and answer any questions you may have.

4. Certificate Completed
Where appropriate, once the advice has been provided and any applicable lender requirements have been met, we can complete the lender’s required Independent Legal Advice Certificate.

Jacob Corbett

Bridie Edwards

Partner | Lawyer

Bridie Edwards is a Lawyer in the Commercial Law team at Bradley & Bray. Joining the firm in 2019 as a law clerk; she was admitted as a Lawyer in 2020; promoted to Associate Director in 2023; and Partner in 2025.

As an integral member of our leadership team, Bridie assists Director Jacob Corbett, Partner Peter Griffin, and Practice Manager Debbie Davis in managing the firm.
